Terms & Conditions

These terms explain the rules for using Zuno Club, what you can expect from us, and what we expect from you. Please read them carefully.

1. About these terms

Zuno Club (the "Platform") is a mobile application and website at zunoclub.app operated by [COMPANY LEGAL NAME], a company incorporated in India with its registered office at [REGISTERED ADDRESS] ("Zuno Club", "we", "us" or "our").

These Terms & Conditions ("Terms"), together with our Privacy Policy, Refund Policy and any community guidelines shown in the app, form a binding agreement between you and us. By creating an account, or by accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use Zuno Club.

This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not require any physical or digital signature.

2. Who can use Zuno Club

  • You must be at least 18 years old and capable of entering into a binding contract under Indian law.
  • You must give accurate, current information when you sign up and keep it up to date.
  • You must not use the Platform if we have previously suspended or removed your account, or if you are barred from doing so under any applicable law.

3. Your account

You can sign up with your mobile number (verified by a one-time password) or your Google account. You are responsible for everything that happens under your account, so keep your device and login secure and tell us straight away at support@zunoclub.app if you think someone else has accessed it.

One person may hold only one user account. Accounts are personal and cannot be sold, transferred or shared. You can delete your account at any time from Edit profile in the app.

4. What Zuno Club is

Zuno Club is a platform that lets you:

  • have paid, private 1:1 chats, voice calls and video calls with independent experts and experienced individuals ("Hosts"); and
  • join free communities ("Clubs") to post, comment, and take part in live audio rooms.

Hosts are independent individuals. They are not our employees, agents or representatives, and they decide what they say in their conversations. We provide the technology, payments and safety tools that make these conversations possible. To the extent we host or transmit content created by users and Hosts, we act as an intermediary under the Information Technology Act, 2000.

We may add, change or remove features from time to time. We will try to give you notice of significant changes that affect you.

5. Not professional advice

Important: Conversations on Zuno Club are peer guidance based on a Host's own experience. They are not medical, mental-health, legal, financial, tax or other professional advice, and are not a substitute for a qualified professional. If you are in crisis, thinking about harming yourself, or in danger, please contact local emergency services or a crisis helpline immediately. Zuno Club is not an emergency service.

Even where a Host holds a professional qualification, any conversation on the Platform is general guidance only and does not create a doctor–patient, lawyer–client, advisor–client or any other professional relationship. You are responsible for the decisions you make based on any conversation.

6. Wallet, pricing and payments

Wallet

To talk to a Host, you add money to your in-app Zuno Club wallet ("Wallet") using UPI, debit or credit card, or other methods we offer. Payments are processed by our third-party payment partners. Wallet balance can only be used on the Platform, is not a bank account, does not earn interest and cannot be transferred to another user.

Per-minute pricing

  • Each Host sets their own per-minute rate for chats and calls. The rate is shown on the Host's profile and before you start a conversation.
  • Billing starts only after the Host joins the chat or call, and is deducted from your Wallet for each minute (or part of a minute) of the conversation.
  • If your Wallet balance runs low, we will warn you. The conversation ends when your balance runs out unless you top up.
  • If a call drops because of a technical problem, unbilled minutes are not charged and go back to your Wallet automatically.

Taxes and fees

Prices may include or be subject to applicable taxes such as GST, which will be shown where required by law.

Promotional credits

We may give you promotional or bonus credits. These may have an expiry date and conditions shown when they are given, have no cash value and are not refundable.

Refunds

Refunds are covered by our Refund Policy, which forms part of these Terms.

No payments outside the app

All payments between users and Hosts must go through the Platform. Asking for, offering or making payments outside Zuno Club is not allowed and may lead to account suspension. We cannot help with disputes over payments made outside the Platform.

7. Clubs and community rules

Clubs are free spaces to share and learn. To keep them safe and kind, you agree not to post, send or share anything that:

  • harasses, bullies, threatens, intimidates or defames anyone, or is hateful based on religion, caste, race, ethnicity, gender, sexual orientation, disability or any other protected characteristic;
  • is obscene, pornographic, sexually explicit, paedophilic, or invades another person's privacy (including sharing someone's personal information or images without consent);
  • promotes self-harm, violence, terrorism, illegal drugs, gambling or any unlawful activity;
  • is false or misleading, impersonates any person, or misrepresents your identity or qualifications;
  • infringes anyone's copyright, trademark or other rights;
  • is spam, advertising, a pyramid or referral scheme, or a request for money or contact details to move off the Platform;
  • contains viruses or malicious code, or tries to hack, scrape, overload or interfere with the Platform; or
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, or otherwise violates any law in force.

Hosts and Club moderators are also bound by these rules.

8. Your content

You own the content you post or send on Zuno Club ("Your Content"). To run the Platform, you give us a non-exclusive, royalty-free, worldwide licence to host, store, display, reproduce and distribute Your Content within the Platform, and to use public Club content (such as posts and short takes) to promote Zuno Club. This licence ends when you delete the content or your account, except where the content has been shared by others or we must keep it by law.

We do not use the contents of your private 1:1 chats or calls for marketing.

You confirm that you have the rights to everything you post and that it does not break these Terms or any law.

9. Terms for Hosts

If you apply to become a Host, these extra terms apply to you:

  • Verification. You must complete our identity and background checks, which may include government ID, PAN and bank account verification. We may approve or reject applications at our discretion.
  • Honest profile. Your profile, experience and qualifications must be true and not misleading. You must not claim a professional licence you do not hold.
  • Rates and earnings. You set your per-minute rate within limits we may set. We keep a platform fee of [PLATFORM FEE %] of each paid conversation (or as otherwise agreed in writing), and pay your earnings to your verified bank account on the payout schedule shown in the Host dashboard, after applicable deductions such as TDS and taxes.
  • Taxes. You are responsible for your own income tax, GST (if applicable) and other legal obligations as an independent provider.
  • Conduct. You must treat users with respect, keep conversations within your stated topics, never ask users for personal contact details or off-platform payments, and never give advice you are not qualified to give. You must tell users to seek professional or emergency help where appropriate.
  • Confidentiality. You must keep what users share with you confidential and must not record, screenshot or share conversations without the user's clear consent.
  • Clawbacks. If a user is refunded because of your conduct or a no-show, we may deduct the amount from your earnings.

10. Safety, reporting and moderation

You can report or block any user, Host, message, post or Club from within the app. We review reports and may remove content, limit features or suspend accounts that break these Terms. We may also use automated tools to detect spam and harmful content.

Where required by law, we will remove or disable access to unlawful content on receiving a valid court order or notice from an authorised government agency, and will act on user complaints within the timelines set out in the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

11. Suspension and termination

You may stop using Zuno Club and delete your account at any time. We may suspend or end your access, with or without notice, if you break these Terms or the law, if we need to protect users, Hosts or the Platform, or if we are required to by law. If we close your account for reasons other than your breach of these Terms, we will refund any unused paid Wallet balance as described in our Refund Policy.

Sections that by their nature should survive termination (including payments due, Your Content licence for shared content, disclaimers, limitation of liability, indemnity and governing law) will continue to apply.

12. Our intellectual property

The Zuno Club name, logo, app, website, design and software belong to us or our licensors. We give you a personal, limited, non-exclusive, non-transferable licence to use the app for its intended purpose. You must not copy, modify, reverse-engineer or resell any part of the Platform.

13. Third-party services

The Platform uses third-party services such as app stores, payment gateways, SMS providers, Google sign-in and calling infrastructure. Your use of those services may also be governed by their own terms. We are not responsible for third-party services that we do not control.

14. Disclaimers

We work hard to keep Zuno Club safe and available, but the Platform is provided on an "as is" and "as available" basis. To the extent allowed by law, we do not guarantee that the Platform will always be uninterrupted or error-free, that any Host will be available, or that any conversation will produce a particular result. We do not endorse, and are not responsible for, the opinions or guidance of Hosts or users.

15. Limitation of liability

To the maximum extent permitted by law, Zuno Club and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the Platform or any conversation on it. Our total liability to you for any claim relating to the Platform will not exceed the greater of (a) the amount you paid to us in the three months before the claim arose, or (b) ₹1,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnity

You agree to indemnify and hold harmless Zuno Club and its directors, employees and partners from any claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or the rights of any third party, or Your Content.

17. Governing law and disputes

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern informally. Subject to that, the courts at [CITY], India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. Nothing here limits any rights you have as a consumer under the Consumer Protection Act, 2019.

18. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will let you know in the app or by email before they take effect. Continuing to use Zuno Club after the changes take effect means you accept the updated Terms.

19. Grievance officer and contact

In line with the Information Technology Act, 2000 and the rules made under it, the details of our Grievance Officer are:
